Ascendr SEO Service Terms and Conditions

These Terms and Conditions (“Terms”) govern the SEO and digital marketing services provided by Ascendr (“we”, “our”, “us”) to you (“Client”, “you”, “your”) as outlined in your Service Agreement or Proposal. By engaging Ascendr’s services, you agree to these Terms.

1. Scope of Services

Ascendr will provide SEO, digital marketing, and related services as described in the Service Agreement or Proposal accepted by you. Services may include (but are not limited to):

• SEO audits and optimisation

• Keyword research and strategy

• On-page and technical SEO

• Link building and off-page SEO

• Content recommendations

• Google Business Profile optimisation

Any changes to scope must be agreed in writing.

2. Client Responsibilities

To enable us to deliver services effectively, you agree to:

• Provide accurate and complete information as required

• Supply timely access to your website, hosting, and related platforms

• Respond to requests for approvals or content promptly

• Ensure that your website complies with applicable laws and does not contain unlawful or infringing content

We are not responsible for delays caused by failure to provide required information or access.

3. No Guaranteed Rankings — Our Performance Guarantee

Ascendr applies best practices and proven SEO strategies. However, we do not and cannot guarantee #1 rankings or first-page rankings on Google or other search engines, as these are influenced by factors beyond our control, including changes to algorithms and competitor activity.

What we do guarantee is measurable traffic growth. Specifically:

• Tier 1 — Local Lead Generator: Projected traffic increase of +30% to +50% over 6 months

• Tier 2 — Authority Builder: Projected traffic increase of +50% to +80% over 6 months

• Tier 3 — Market Dominator: Projected traffic increase of +80% to +120% over 6 months

If these traffic projections are not achieved within six months, Ascendr will continue working at no additional cost until those outcomes are met.

4. Fees and Payment

• Fees are outlined in your Service Agreement or Proposal.

• Invoices must be paid by the due date stated.

• Monthly services will not continue unless payment is made in advance.

• Late payments may result in service suspension or additional charges.

• All fees are in Australian Dollars (AUD) unless otherwise specified and exclusive of GST (if applicable).

5. Intellectual Property

You retain ownership of your website, content, and branding.
Any deliverables created by Ascendr (e.g. reports, recommendations) remain the property of Ascendr until payment is received in full.

Ascendr retains ownership of proprietary methods, templates, and processes used to deliver services.

6. Confidentiality

Both parties agree to keep confidential any commercially sensitive information disclosed during the engagement, unless required by law or with prior written consent.

7. Limitation of Liability

To the extent permitted by law:

• We exclude liability for indirect, incidental, special, or consequential loss (including loss of profits, revenue, or business) arising from our services.

• Our liability is limited (at our option) to re-supplying the services or refunding the service fee paid.

• We do not accept responsibility for the actions or decisions of third-party platforms (e.g. Google, social media channels).

8. Termination

Either party may terminate the service with 30 days’ written notice.
Ascendr may suspend or terminate services immediately if you breach these Terms, fail to pay invoices, or engage in conduct that could harm our business or reputation.

9. Use of Results for Marketing

With your consent, Ascendr may reference your project results or testimonials in our marketing (including on our website or proposals). You may choose whether your business name is included or kept anonymous.

10. Governing Law

These Terms are governed by the laws of Victoria, Australia. Disputes will be subject to the exclusive jurisdiction of the courts of Victoria.

11. Changes to Terms

We may update these Terms from time to time. The most current version will apply to ongoing services following notice to you.
